Definitions
- Contract management (CLM)
- The set of processes and tools used to manage the contract lifecycle: drafting, negotiation, approval, signature, performance, renewal and archiving.
- Contract lifecycle
- The sequence of stages from the initial request to the end of the contract (termination, expiry or renewal), including signature and performance tracking.
- Reference version
- The single copy treated as the source of truth (often the signed PDF), as opposed to drafts and local copies.
- NDA (non-disclosure agreement)
- A contract governing the exchange of sensitive information between parties, with a duration, scope and exceptions.
- Master agreement
- An agreement setting the general terms that apply to later orders or amendments, without necessarily committing to a firm volume.
- Amendment
- A document that changes an existing contract (amount, duration, scope) while remaining attached to the original contract file.
- Notice period
- The minimum time required to give notice of termination or non-renewal before the expiry date.
- Automatic renewal
- The contract renews automatically at expiry if neither party has terminated it within the notice period.
- SLA (Service Level Agreement)
- Service level commitments (lead times, availability, quality), often attached to a services contract.
- Approval workflow
- An ordered sequence of approvals (roles, thresholds, SLAs) before a document is signed or archived.
- Delegation threshold
- The amount or level of risk above which an additional approver (legal, finance, management) becomes mandatory.
- Contract metadata
- Structured data attached to the file: parties, amount, dates, type, owner, status — essential for search and alerts.
- Business owner
- The person responsible for the day-to-day follow-up of a contract (renewal, performance), as distinct from whoever happened to upload it.
- Traceability
- The ability to trace who created, edited, approved or shared a version, with a timestamp.
- Audit trail
- An immutable (or tamper-resistant) log of events that serves as evidence in an audit or dispute.
- Standard clause / playbook
- A library of wording and negotiating positions that speeds up legal review without starting from scratch.
- Redlining
- Collaborative review of a draft contract with tracked changes and comments.
- Electronic signature
- A way to sign a document remotely, whose legal weight depends on the signature level (simple, advanced, qualified).
- Evidential-value archiving
- Organized retention designed to preserve the document’s integrity and enforceability throughout the retention period.
- Retention period
- The period during which the contract (and related documents) must remain accessible, based on legal obligations and business needs.
- Best-efforts vs. result obligation
- The distinction in the provider’s level of commitment: reasonable diligence versus a promised outcome.
- Penalties / liquidated damages
- Fixed amounts set in advance for a breach (delay, non-conformity), distinct from damages awarded by a court.
- Force majeure
- An external, unforeseeable and irresistible event that temporarily or permanently releases a party from its obligations.
- Termination for cause
- Early termination of the contract because of a serious breach by one party, under the conditions set out in the contract.
- Governing law / jurisdiction
- The law and court (or arbitration) designated to settle disputes arising from the contract.
- Subcontracting
- Using a third party to perform all or part of the obligations, often subject to the customer’s prior consent.
- GDPR / personal data
- The framework that applies when the contract involves processing personal data (controller / processor roles, DPA).
- DPA (Data Processing Agreement)
- An agreement governing the processing of personal data by a processor on behalf of the data controller.
- Contract due diligence
- A review of current commitments (deadlines, risks, critical clauses), often during an audit, a fundraising round or an acquisition.
- Contract repository
- A single place where active contracts and their metadata are stored, as opposed to scattering them across e-mail, Drive and Excel.
- Reporting obligation
- A commitment to provide periodic reports (SLAs, volumes, incidents) as set out in the contract.
- Indexation
- A mechanism that automatically adjusts prices according to an index (inflation, raw material costs).
- Exclusivity
- A clause restricting a party’s ability to contract with third parties within a defined scope.
- Non-solicitation
- A ban on poaching the other party’s employees or customers for a given period.
- Escrow
- A deposit mechanism (source code, funds) released under specific contractual conditions.
- Contract KPI
- An indicator tracked to manage performance (approval time, renewal rate, backlog without an owner).
- Duty to warn
- The obligation to inform the other party of a risk, delay or incident affecting the contract.
- Contract assignment
- Transfer of rights and obligations to a third party, often subject to written consent.
- Novation
- Replacing an obligation or a party with a new one, which extinguishes the original.
- Approval playbook
- Internal rules (who approves what, within what timeframe) applied consistently to every new contract.
